Birla Nu Limited to absorb Clean Coats Private Limited following tribunal approval

The National Company Law Tribunal has approved a Scheme of Amalgamation between Birla Nu Limited and Clean Coats Private Limited, effective November 11, 2025. The merger will see Clean Coats Private Limited absorbed into Birla Nu Limited. While the tribunal deemed the scheme “fair and reasonable” and compliant with the Companies Act, 2013, it considered concerns raised by the Regional Director, Official Liquidator, and the Income Tax Department, which cited pending tax proceedings and a Rs 10.01 crore outstanding tax demand. Birla Nu Limited has assured the ITD that it will address these issues, comply with all applicable tax laws, and remain liable for any future adverse tax findings. The tribunal has directed Birla Nu Limited to fulfill all obligations related to the amalgamation and register the scheme with the Registrar of Companies.
