Court approves amalgamation scheme with meetings scheduled for October 2026 in Chennai

A court order has approved a scheme of amalgamation involving a Demerged Company and an Amalgamated Company, requiring meetings to be held on October 30, 2026, at specified locations in Chennai. Equity shareholders, secured creditors, and unsecured creditors of both companies are required to attend, with quorum requirements ranging from one to 20 attendees per class. Shri. Kuldeep Karir and Shri. Astik Gupta will serve as chairpersons for the Demerged and Amalgamated Companies, respectively, receiving fees of Rs. 150,000 plus incidental expenses. Notices and advertisements must be disseminated at least 30 days prior to the meetings, and reports must be filed within one week of the meetings’ conclusion, adhering to relevant MCA Circulars and regulations under the Companies Act, 2013.
