NCLT approves amalgamation scheme; Transferee Company shareholder meeting scheduled for October 2026

Two companies are seeking approval for a Composite Scheme of Amalgamation, with one company to be absorbed into the other. The National Company Law Tribunal (NCLT) has dispensed with the need for meetings for shareholders and creditors of both entities, but a meeting is required for shareholders of the Transferee Company on October 24, 2026, at the company’s registered office in Hyderabad, accessible via video conferencing. Ms. Sarvani Desiraju will chair the meeting, with Ms. Kruthi Kalaga serving as the scrutinizer, receiving remuneration of Rs 1,50,000 and Rs 75,000 respectively. Shareholders of the Transferee Company will receive notice 30 days prior, and a share exchange ratio of one share for one share will be implemented, with new shares carrying equivalent rights.
