One Global Service Provider Limited allocates shares to investors for Matrix Labs acquisition

One Global Service Provider Limited is undertaking a preferential allotment of 7,15,040 equity shares at a price of Rs. 553 per share to investors Mr. Suresh and Mr. Nithya S, as part of a larger acquisition of stakes in Matrix Labs Diagnocare Private Limited (MLDPL) and Matrix Labs Private Limited (MLPL). The allotment, approved to increase the company’s authorized share capital from Rs. 25,05,00,000 to Rs. 50,00,00,000, will grant Mr. Suresh a 3.29% stake and Mr. Nithya S a 0.24% stake in One Global. The company plans to acquire 51% equity in both MLDPL, where Mr. Suresh holds 95% and Mr. Nithya S holds 5%, and MLPL, where Mr. Suresh holds 70%. Significant discrepancies exist regarding the number of shares involved in the transaction, and further clarification is needed regarding the ultimate beneficiaries of the investors and a complete accounting of shareholdings before and after the allotment.
