One Global Service Provider Limited acquires 51% stake in Matrix Labs through share issuance

One Global Service Provider Limited is acquiring a 51% stake in Matrix Labs Diagnocare Private Limited (MLDPL) and Matrix Labs Private Limited (MLPL) through a preferential allotment of 7,15,040 equity shares. The consideration for the acquisition is non-cash, consisting of equity shares issued to Mr. Suresh and Mr. Nithya S, who are selling portions of their ownership in the companies. Mr. Suresh will receive 6,66,200 shares, representing a 3.29% stake in One Global Service Provider Limited, while Mr. Nithya S will receive 48,840 shares, or 0.24% of the company. The share issuance price is Rs. 553 per share, a premium over the face value. Simultaneously, the company is increasing its authorized share capital from Rs. 25,05,00,000 to Rs. 50,00,00,000 through an amendment to its Memorandum of Association.
