One Global Service Provider Limited acquires 51% stake in Matrix Labs through equity shares

One Global Service Provider Limited is acquiring a 51% stake in Matrix Labs Diagnocare Private Limited (MLDPL) and Matrix Labs Private Limited (MLPL) through the issuance of equity shares. Mr. Suresh and Mr. Nithya S are receiving shares in exchange, with Mr. Suresh receiving a total of 6,66,200 shares and Mr. Nithya S receiving 48,840 shares, representing 3.29% and 0.24% ownership respectively after the allotment. The company is also undertaking a preferential allotment of 7,15,040 equity shares to Mr. Suresh and Mr. Nithya S at an issue price of Rs. 553 per share. Simultaneously, the company plans to amend its memorandum of association to increase its authorized share capital from Rs. 25,05,00,000 to Rs. 50,00,00,000. Discrepancies exist regarding the total number of shares issued, and further clarification is needed regarding the ultimate beneficiaries of the acquired companies.
