IHCL to merge Oriental Hotels, subject to NCLT and shareholder approvals

The Indian Hotels Company Limited (IHCL) announced that its board has approved a scheme of arrangement to amalgamate Oriental Hotels Limited (OHL) into IHCL, according to a regulatory filing. OHL, an associate company of IHCL where the latter holds 37.05% equity, will be merged with IHCL, subject to approvals from the National Company Law Tribunal (NCLT), shareholders, and creditors, as well as regulatory approvals. Under the proposed share exchange ratio, 25 equity shares will be allotted for every 117 shares held in OHL.
