Purple Finance Limited to acquire Saksham Gram Credit Private Limited via share issuance

Purple Finance Limited is acquiring 100% of Saksham Gram Credit Private Limited, a transaction financed by the issuance of 99,99,952 shares at a price of Rs 72 per share. Allottees include promoter sellers Gyanandra Mishra, G. Naga Reddy, Keshav Mishra, and Preeti Mishra, alongside a diverse group of investors such as DCB Bank Limited, Utkarsh Small Finance Bank Ltd, and KJMC Financial Services Limited, as detailed in Annexure I. The acquisition agreement, outlined in Annexure II, includes standard provisions related to purchase consideration, representations, and governance, and is not considered a related party transaction. The acquisition will establish Saksham Gram Credit Private Limited as a wholly-owned subsidiary of Purple Finance Limited, and no nominee directors will be appointed.
